Euris Capital Partners has been the exclusive consultant of Agrokor Energy (founded within the Agrokor Group in 2010) since 2011. To this day, AE constructed 6 biothermal plants with the total capacity of 10 MW in Gradec near Zagreb and Slavonija. In 2014, ECP advised AE on the company’s capital from two local private equity funds – Nexus and Prosperus.
ECP was involved in the consulting services which included conducting the financial and strategic due diligence process; creation of business plans and valuation; preparation of the strategy and restructuring process for companies that are subjects of potential acquisitions or recapitalizations from financial investors. ECP has successfully advised Spirit Group on the acquisition of the at the time largest agricultural company in Croatia, Gorup Ltd., suggesting a minority share with the option of buying a majority share.
Since 2009, Euris Capital Partners has been the exclusive financial consultant of Niki Group AG which is the owner of the largest distribution company in Bosnia and Herzegovina. ECP is in charge of defining the expansion strategy, identifying the possible targets and carrying out a number of the group’s transactions. Initially a distribution company, thanks to this collaboration Niki Group AG has grown to a company with its own production and a private brand line. In 2013, ECP successfully consulted Niki Group AG during the 45 mil. EUR acquisition of the Juicy brand from Jamnica Group. Juicy is currently the segment market leader in Croatia.
Euris Capital Partners is the preferred consultant of Agrokor Corp., with regard to the preparation and conduction of small- and middle-sized sale projects. ECP drafts all paperwork for the bank, taking into account the current investments of the company. ECP presently acts as Agrokor’s sales consultant in the sale of a self-service gas stations project. Euris Capital Partners has been given a consulting mandate by Stella Mediterranea, the leading manufacturer of traditional Dalmatian delicacies in Croatia. ECP is in charge of leading the sales process and/or finding a potential strategic partner. This involves the following: conducting due diligence and valuation of the company; creating a proposal for the structuring transactions model; organisation and management of the entire selling process, preparation of the Information memorandum and other necessary paperwork; organisation of Data room.
Meteor d.o.o. has given ECP the mandate to acquire the leading producer of cleaning products in Croatia, Labud Ltd., and Badel Ltd. ECP has lead the entire acquisition process and successfully coordinated teams working on the transaction (legal, audit, tax teams, etc.), conducted due diligence, structured the transaction, prepared the offer, structured the financing, and held negotiations with the banks and management teams of both companies.
ECP has been given the consulting mandate by the Photo Boutique group, one of the leading groups of photography products manufacturers in Croatia. ECP is in charge of leading the whole process of selling the group, which includes: organisation and management of the entire sale; proposal of the transaction structure model; preparation of information memorandum and other paperwork, organisation of data room, preparation of management presentations; communication with potential investors; evaluation of synergistic effects.
ECP was appointed a consulting mandate by Stega Tisak, the leading printing company in Croatia. ECP was in charge of the company valuation and defining the separation strategy of partners (owners), which consisted of the valuation of the group, defining the separation of partners in coordination with the legal team, and structuring the entire transaction.
ECP was involved as a financial consultant during the company’s debt restructuring process. Services included the valuation of the company and its business activities, creation of models for optimizing capital structure, and participation in negotiations with management and financial institutions. ECP also conducted several analysis of macro and micro environments with the purpose of creating a study for the group’s new investment.
